1. Acceptance and authority
By creating an account, accepting an invitation, purchasing a subscription, or using TrueClock, you agree to these Terms. If you use TrueClock for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization. You must be at least 18 years old. If you do not agree, do not use TrueClock.
2. The service
TrueClock provides time tracking, project and client records, cost and profitability calculations, budget monitoring, approval workflows, reports, exports, AI-assisted features, and third-party integrations. Features may change as we improve the service. TrueClock is an operational tool and does not provide legal, tax, accounting, employment, payroll, or financial advice. You are responsible for reviewing outputs and making business, payroll, billing, and employment decisions.
3. Accounts and company administrators
You must provide accurate information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account. Company administrators control company settings, user access, roles, integrations, and company data. Your use may therefore be subject to your company’s policies and instructions in addition to these Terms.
4. Customer data
As between you and Vibe Lab, you retain ownership of data submitted to TrueClock (“Customer Data”). You grant Vibe Lab a non-exclusive, worldwide license to host, copy, process, transmit, display, and modify Customer Data only as needed to operate, secure, support, and improve the service and fulfill your requests. You represent that you have all rights and permissions needed to provide Customer Data and instruct us to process it.
5. Google Sheets and other integrations
Optional integrations are governed by the third party’s terms as well as these Terms. When a Super Admin connects Google Sheets, you authorize TrueClock to use the granted Google permissions to identify the connected account and write requested TrueClock report data to the spreadsheet selected by your company. You are responsible for the spreadsheet selected, the people who can access it, and confirming exported data before relying on it. You may disconnect Google Sheets in TrueClock settings and may separately revoke access through your Google Account. Third-party services may change, suspend, or discontinue their APIs.
6. AI-assisted features
AI features may produce incomplete, incorrect, or unexpected results. They do not replace human review. You must evaluate AI-generated flags, answers, and report configurations before relying on them. Do not use AI features to make solely automated employment or other high-impact decisions. You may not submit content to an AI feature unless you have the right to process it for that purpose.
7. Acceptable use
You may not:
- use TrueClock unlawfully or to violate another person’s rights;
- access another company’s data or an account without authorization;
- probe, scan, bypass, or disrupt security or access controls;
- upload malware or use the service to send spam or abusive content;
- reverse engineer or copy the service except where applicable law prohibits this restriction;
- scrape or use automated means to access the service beyond documented interfaces;
- resell or sublicense TrueClock unless we agree in writing; or
- use TrueClock or its outputs to build or train a competing model or service.
8. Subscriptions, trials, and payment
Paid subscriptions, seat quantities, trial length, billing frequency, taxes, and prices are shown during signup or in billing settings. By providing a payment method, you authorize recurring charges through Stripe until cancellation. Unless otherwise stated, subscriptions renew automatically for successive billing periods. You must keep billing information current. We may change prices with advance notice, effective no earlier than the next renewal permitted by that notice.
You may cancel through available billing controls or by contacting us. The cancellation timing and continued access are as shown when you cancel. Except where required by law or expressly stated otherwise, fees already paid are non-refundable and partial billing periods are not prorated. Failure to pay may result in restricted or suspended access.
9. Intellectual property and feedback
Vibe Lab and its licensors own TrueClock, including its software, design, documentation, and branding, excluding Customer Data. These Terms grant only a limited, non-exclusive, non-transferable right to use the service during your authorized subscription or trial. If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without obligation to you.
10. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform under these Terms and protect it with reasonable care. Confidential information excludes information that is public through no fault of the recipient, already lawfully known, independently developed, or lawfully received without restriction. Disclosure is permitted when legally required after reasonable notice where allowed.
11. Availability, changes, and beta features
We work to keep TrueClock available but do not promise uninterrupted or error-free operation unless a separate written service-level agreement applies. We may maintain, modify, limit, or discontinue features. Preview or beta features may be changed or withdrawn at any time and may be less reliable.
12. Suspension and termination
You may stop using TrueClock at any time. We may suspend or terminate access for material breach, security risk, unlawful use, nonpayment, or where required by law. When the relationship ends, your right to use the service ends. Upon request, we will provide reasonable assistance to export Customer Data while it remains available, subject to account status, technical feasibility, and applicable law. Provisions that by their nature should survive will survive, including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUECLOCK IS PROVIDED “AS IS” AND “AS AVAILABLE.” VIBE LAB DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT OUTPUTS, CALCULATIONS, EXPORTS, AI RESULTS, OR THIRD-PARTY INTEGRATIONS WILL BE ERROR-FREE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA. VIBE LAB’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO TRUECLOCK WILL NOT EXCEED THE AMOUNT YOU PAID VIBE LAB FOR TRUECLOCK DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE APPLICABLE LAW DOES NOT PERMIT THEM.
15. Indemnification
You will defend and indemnify Vibe Lab and its personnel from third-party claims, damages, and reasonable costs arising from your Customer Data, your unlawful or unauthorized use of TrueClock, or your material breach of these Terms. We will promptly notify you and reasonably cooperate, and you may control the defense so long as any settlement does not admit fault by or impose obligations on us without our written consent.
16. Governing law and disputes
These Terms are governed by Minnesota law, without regard to conflict-of-law rules. The state and federal courts located in Hennepin County, Minnesota will have exclusive jurisdiction over disputes, and each party consents to those courts. Before filing a claim, each party will attempt in good faith for 30 days to resolve the dispute after written notice. Nothing prevents either party from seeking urgent injunctive relief.
17. Changes to these Terms
We may update these Terms. We will post the revised version with a new effective date and provide additional notice of material changes when required. Continued use after updated Terms take effect constitutes acceptance, except where applicable law requires a different form of consent.
18. General
These Terms and any written order or addendum form the entire agreement about TrueClock and supersede prior discussions on that subject. If a provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control.
